Item 2.02Results of Operations and Financial Conditions

On March 10, 2021, Citizens, Inc. (the “Company”) issued a press release regarding the Company’s financial results for the year ended December 31, 2020. A copy of the Company’s press release is attached hereto as Exhibit 99.1.

Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 9, 2021, the Board of Directors (the “Board”) of the Company, based on the recommendation of the Compensation Committee of the Board, approved a discretionary cash bonus for Gerald W. Shields, the Company’s Interim Chief Executive Officer and President, in the amount of $125,000 to be paid in March 2021. The bonus was paid in recognition of Mr. Shields’ performance as Interim Chief Executive Officer and President for 2020.
