Item 2.05 Costs Associated with Exit or Disposal Activities.

On March 3, 2021, Sinclair Broadcast Group, Inc. (the "Company") announced enterprise-wide workforce reductions to better position the Company in response to the COVID-19 pandemic and shifting market forces. The workforce reduction involves the termination of approximately 500 employees, representing approximately 5% of the Company's employees. The Company expects to realize approximately $38 million of annualized pre-tax savings in connection with this workforce reduction. In connection with the workforce reduction, the Company estimates that it will incur approximately $7 million of restructuring and related charges, primarily related to employee severance and benefit costs, which the Company expects to incur in the first quarter of 2021.

The estimated charges are preliminary and may vary based on various factors, including the timing of implementation and changes in underlying assumptions and projections.
