Item 1.01 Entry into Material Definitive Agreement.

 

On March 3, 2021, Tonix Pharmaceuticals Holding Corp. (the “Company”) entered into a Purchase and Sale Agreement (the “Agreement”) with the seller named therein (the “Seller”), pursuant to which the Company has agreed to purchase from Seller a commercial building and lot in Bristol County Massachusetts (the “Property”) for $2.9 million. The Company will pay $29,000 as an initial deposit, $29,000 following a 60-day diligence period, all of which is fully refundable and which will be credited against the purchase price of the Property. The Company may terminate the Agreement prior to the closing of the sale of the Property subject to certain contingencies. The Property is intended for process development activities.
