Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 2, 2021, WestRock Company announced that the Company’s Board of Directors has appointed David B. Sewell, 52, as president and chief executive officer and as a director of the Company, effective March 15, 2021. Mr. Sewell succeeds Steven C. Voorhees, who will step down as president and chief executive officer of the Company and resign as a member of the Board of Directors for health reasons, effective March 15, 2021.

Mr. Sewell currently serves as president and chief operating officer of The Sherwin-Williams Company, a position he has held since March 2019. From August 2014 to March 2019, he served as president of the company’s performance coatings group. Prior to joining the company in February 2007, Mr. Sewell spent 15 years working for General Electric Company.  He holds a bachelor’s degree in economics from the University of Southern California.

There is no arrangement or understanding between Mr. Sewell and any other persons pursuant to which Mr. Sewell was selected as an officer or director. There are no family relationships between Mr. Sewell and any director or executive officer of the Company, and no transactions involving Mr. Sewell that would require disclosure under Item 404(a) of Regulation S-K.
