Item 8.01    Other Events.
On March 1, 2021, L3Harris Technologies, Inc. (“L3Harris”) issued a press release announcing the signing of definitive agreements under which CAE will acquire L3Harris’ Military Training business for $1.05 billion in cash and RENK AG will acquire L3Harris’ Combat Propulsion Systems and related businesses for about $400 million in cash. The press release also stated that each transaction is subject to customary closing conditions, including receipt of regulatory approvals, and is expected to close in the second half of 2021 and that L3Harris expects to use the proceeds from the divestitures to repurchase shares of its common stock.
