Item 2.02    Results of Operations and Financial Condition.

On February 25, 2021, Rocket Companies, Inc. (the "Company") issued a press release announcing its results for the fourth quarter and full year ended December 31, 2020, a copy which is attached hereto as Exhibit 99.1 and is incorporated herein by reference in its entirety.

Item 7.01 Regulation FD Disclosure

On February 25, 2021, the Company’s Board of Directors authorized and declared a cash dividend (the “Special Dividend”) of $1.11 per share to the holders of the Company’s Class A common stock, par value $0.00001 per share (the “Class A Common Stock”). The Special Dividend will be paid on March 23, 2021 to holders of the Class A Common Stock of record as of the close of business on March 9, 2021. The Company will fund the Special Dividend from cash distributions of approximately $2.2 billion by RKT Holdings, LLC to all of its members, including the Company.
