Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Wick Ach has notified First Financial Bancorp (the “Company”) of his decision to retire as a director of the Company effective at the end of his current term. Accordingly, Mr. Ach will not stand for re-election at the Company’s 2021 Annual Meeting of Shareholders to be held on May 25, 2021. Mr. Ach has informed the Company that his decision to retire is not the result of any disagreement with management or Board of Directors on any matters relating to the Company’s operations or practices.

The Board of Directors intends to take action to reduce the size of the Board from 12 to 11 directors effective as of the 2021 Annual Meeting.
