Item 8.01 Other Events
On February 25, 2021 Edgewell Personal Care Company (the “Company”) announced that it intends to offer through a private unregistered offering unsecured, unsubordinated notes due 2029 in an aggregate principal amount of $500 million (the “Notes”). The offering is subject to market and other conditions. If the offering is consummated, the Company intends to use the net proceeds from the issuance of the Notes, together with cash on hand, to redeem and satisfy and discharge all of the Company’s outstanding 4.700% Senior Notes due 2022 (“2022 Senior Notes”), and to pay fees and expenses associated therewith. This document is not and should not be construed as a notice of redemption for the 2022 Senior Notes.
A copy of the press release, which was issued in accordance with Rule 135c under the Securities Act of 1933, as amended, is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
