On behalf of Peter Rawlinson -

Dear Colleagues,

I am pleased to share that we have just announced our intent to become a public company via a merger with Churchill Capital Corp IV.  When we embarked upon our mission “To inspire the adoption of sustainable transportation by creating the most captivating electric vehicles, centered around the human experience”, we did so with the intent of one day becoming a public company.  Now we are entering a definitive merger agreement with Churchill Capital Corp IV, a special purpose acquisition company, in order to become a public company.  Going public will accelerate our future growth potential, which is essential for us to have a meaningful impact upon the environment.

This phase of our agreement with Churchill is anticipated to take several months, setting an anticipated transaction close date in Q2 2021.  We will continue to be as transparent as possible with our employees but are limited by regulations in sharing specific details at this time.  Please see the attached press release for details that are shared publicly.

It is important for me to emphasize that this has only been made possible due to the hard work and dedication of each and every one of you.  Some of you may have recently joined Lucid whilst others have been on this journey for several years. Each of you have played a distinct role in getting us to this point as a company.  As Lucid Air approaches start of production, with world-changing technology and a design that redefines luxury, we still have significant work ahead of us. Please take a moment to recognize this milestone as a company and accept my profound gratitude for your commitment, your hard work and dedication, for this is a team sport, and nothing less than a huge team effort has got us this far and will propel us forward.

Please join me in the Company meeting this Friday, February 26, to discuss this exciting news.

My best,

Peter
