Item 8.01    Other Events
On February 24, 2021, Arconic Corporation (the “Company”) issued a press release announcing that it intends to offer an additional $300 million in aggregate principal amount of 6.125% Senior Secured Second-Lien Notes due 2028 (the “Additional Notes”) to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons in accordance with Regulation S under the Securities Act. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
