Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On February 19, 2021, Jennifer B. Morgan notified the Board of Directors (the “Board”) of The Bank of New York Mellon Corporation (the “Corporation”) that she will not stand for re-election as a director of the Corporation at the end of her current term, which expires at the Corporation’s 2021 Annual Meeting of Stockholders (the “Annual Meeting”). Ms. Morgan will continue to serve as a member of the Board and its Audit Committee and Technology Committee until the expiration of her term at the Annual Meeting. Ms. Morgan’s decision not to stand for re-election was not the result of any disagreement with the Corporation on any matter relating to the Corporation’s operations, policies, or practices.
