Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Board of Directors (the “Board”) of Stanley Black & Decker, Inc. (the “Company”) elected Jane Palmieri and Mojdeh Poul directors of the Company, effective February 18, 2021. Ms. Palmieri will serve as a member of the Board’s Corporate Governance Committee and Finance & Pension Committee and Ms. Poul will serve as a member of the Board’s Audit Committee and Corporate Governance Committee. Ms. Palmieri and Ms. Poul will participate in the compensation program for non-employee directors as described under the heading “Director Compensation” in the Company’s definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on March 4, 2020.
