(1) The securities are held directly by Vistas Media Sponsor, LLC (the “Sponsor”) and indirectly by F. Jacob Cherian, Abhayanand Singh and Saurabh Gupta, each of whom is a member and a manager of the Sponsor and has voting and dispositive power over the securities held directly by the Sponsor. As a result, each of Messrs. Cherian, Singh and Gupta may be deemed to have beneficial ownership of the securities held directly by the Sponsor.

 

(2) The Sponsor owns 1,768,500 shares of Class B Common Stock, par value $0.0001 per share (“Class B Common Stock”), of Vistas Media Acquisition Company Inc. (the “Issuer”), which are convertible into shares of Class A Common Stock, par value $0.0001 per share (“Class A Common Stock”), of the Issuer, as described under the heading “Description of Securities—Common Stock—Founder Shares” in the Issuer’s registration statement on Form S-1 (File No. 333-239819) (the “Registration Statement”).

 

(3) Excludes (i) 295,000 shares of Class A Common Stock underlying 295,000 private placement units of the Issuer and 295,000 shares of Class A Common Stock underlying the 295,000 private placement warrants included in the private placement units and (ii) 500,000 shares of Class A Common Stock issuable upon the exercise of 500,000 private placement warrants of the Issuer. Each private placement warrant is exercisable to purchase one share of Class A Common Stock at a price of $11.50 per share, subject to adjustment, becomes exercisable 30 days after the completion of the Issuer’s initial business combination and expires five years after the completion of the Issuer’s initial business combination or earlier upon redemption or liquidation, as described under the heading “Description of Securities—Warrants—Private Placement Warrants” in the Registration Statement.

JOINT FILING AGREEMENT

 

This joint filing agreement (this “Agreement”) is made and entered into as of this 16th day of February, 2021, by and among Vistas Media Sponsor, LLC, F. Jacob Cherian, Abhayanand Singh and Saurabh Gupta.

 

The parties to this Agreement hereby acknowledge and agree that the foregoing statement on Schedule 13G in respect of the shares of Class A Common Stock, par value $0.0001 per share, of Vistas Media Acquisition Company Inc. (to which this Agreement is an exhibit) is filed on behalf of each of the parties to this Agreement and that all subsequent amendments to this statement on Schedule 13G may be filed on behalf of each of the undersigned without the necessity of filing additional joint filing agreements. The parties to this Agreement acknowledge that each shall be responsible for the timely filing of the Schedule 13G and any such amendments thereto, and for the completeness and accuracy of the information concerning him or it contained herein or therein, but shall not be responsible for the completeness and accuracy of the information concerning the other persons making the filing, except to the extent that he or it knows or has reason to believe that such information is inaccurate.
