ITEM 2.02          RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On February 10, 2021, NIC Inc. (the “Company”) issued a press release announcing its 2020 fourth quarter financial results.  A copy of the press release is furnished with this report on Form 8-K as Exhibit 99.1 and is incorporated by reference herein.

ITEM 7.01          REGULATION FD DISCLOSURE

On February 1, 2021, the Company’s Board of Directors declared a regular quarterly cash dividend of $0.09 per share, payable to stockholders of record as of March 3, 2021. The dividend, which is expected to total approximately $6.1 million based on the current number of shares outstanding, will be paid on March 17, 2021, out of the Company’s available cash.
