ITEM 8.01 OTHER EVENTS

On February 8, 2021, the Board of Directors of Centene Corporation (the Company) approved an increase in the Company’s existing share repurchase program for its common stock. With this increase, the Company is authorized to repurchase up to $1.0 billion of shares of the Company’s common stock, inclusive of the previously approved stock repurchase program. Stock repurchases may be effected through open market purchases (which may include repurchase plans designed to comply with Rule 10b5-1 and accelerated share repurchases) or privately negotiated transactions. The timing and amount of any shares repurchased will be based on market conditions and other factors, including the price of the Company’s common stock, capital availability, legal and regulatory requirements, and alternative uses of capital. The Company reserves the right to discontinue the stock repurchase program at any time.
