Atento Announces Pricing of Senior Secured Notes

 

NEW YORK, February 3, 2021 – Atento S.A. (NYSE: ATTO) (“Atento” or the “Company”), the largest provider of customer relationship management and business-process outsourcing services in Latin America, and among the top five providers globally based on revenue, today announced that its wholly owned subsidiary, Atento Luxco 1 (the “Issuer”), has priced its previously announced private offering of senior secured notes in an aggregate principal amount of $500 million due 2026 (the “Notes”). The offering is expected to close on February 10, 2021, subject to customary closing conditions. The Issuer intends to use the net proceeds from the offering of the Notes to refinance the Issuer’s outstanding 6.125% Senior Secured Notes due 2022.

The Notes will pay interest at a rate per annum of 8.000% and were priced at 100.000% of their principal amount. The Notes will mature on February 10, 2026. As previously announced, the Notes will be guaranteed on a senior secured basis by certain of Atento’s wholly-owned subsidiaries within 45 business days following the issue date of the Notes subject to an extension for delays caused by governmental restrictions imposed as a consequence of the COVID-19 pandemic. The Notes and the guarantees will be secured, subject to permitted liens and other limitations, by a first-priority lien on the capital stock of the Issuer, each of the guarantors and Atento Argentina S.A. within 120 days following the issue date of the Notes subject to an extension for delays caused by governmental restrictions imposed as a consequence of the COVID-19 pandemic.

The Notes and related guarantees are being offered only to “qualified institutional buyers” in reliance of Rule 144A under the U.S. Securities Act of 1933, as amended (the “Securities Act”), or outside of the United States, to persons other than “U.S. persons” in compliance with Regulation S under the Securities Act. The Notes and the related guarantees have not been and will not be registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act.
