                         (a) Amount Beneficially Owned: MIML has beneficial ownership of 2,933,333 (including 733,333 shares issuable upon exercise of warrants) shares of Common Stock. Through its parent-subsidiary relationship to MIML, MFC may be deemed to have beneficial ownership of these same shares.
   
  (b) Percent of Class: Of the 34,500,000 shares of Units outstanding as of December 8, 2020, according to the Form 10-Q filed by the issuer with the Securities and Exchange Commission on December 9, 2020, MIML held 8.33% (including 733,333 shares issuable upon exercise of warrants).
