On February 2, 2021, Culp, Inc. (the “Company”) issued a news release which included information regarding revised expectations about its financial results for the third quarter of the Company’s fiscal 2021.  A copy of the news release is attached hereto as Exhibit 99.

Item 7.01 Regulation FD Disclosure

On February 2, 2021, the Company issued a news release announcing certain strategic investments and enhancements to its cut and sew mattress platform, including the purchase of the remaining fifty percent ownership interest in its unconsolidated joint venture, which produces cut and sew mattress covers in Haiti.  The news release also provides an update on the Company’s previously issued financial outlook for the third quarter of fiscal 2021.  A copy of the news release is furnished as Exhibit 99 to this Current Report on Form 8-K and incorporated herein by reference.
