Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 25, 2021, Justin Spencer, the Executive Vice President and Chief Financial Officer of Vocera Communications, Inc. (the “Company”), notified the Company that he will be resigning from his position. Mr. Spencer will remain with the Company through June 2021 to facilitate a smooth transition.

Mr. Spencer’s decision to resign was not due to any disagreement with the Company or any matter relating to the Company’s operations, accounting or other policies, or practices.

Item 7.01 Regulation FD Disclosure.

On January 29, 2021, the Company issued a press release in connection with Mr. Spencer’s resignation as Executive Vice President and Chief Financial Officer. A copy of the press release issued by the Company is furnished as Exhibit 99.01 to this report.
