Explanation of Responses:
1. Represents the number of shares required to be sold by the reporting person to cover tax withholding obligations in connection with the vesting of performance stock units ("PSUs") on January 8, 2021. This sale is mandated by the Issuer's election under its equity incentive plans to require the satisfaction of tax withholding obligations to be funded by a "sell to cover" transaction and does not represent a discretionary trade by the reporting person.
2. Included in this number are 56,792 unvested restricted stock units, 25,453 of which were granted on March 8, 2020 and shall vest through March 8, 2023, 17,915 of which were granted on March 8, 2019 and shall vest through March 8, 2022, and 13,424 of which were granted on March 8, 2018 and shall vest through March 8, 2021.
3. The sales reported on this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on July 31, 2020, and amended effective December 16, 2020. This 10b5-1 Plan allows the orderly disposition of shares owned by Mr. Sayer.
