The selling stockholders identified in this prospectus (the “Selling Stockholders”) may, from time to time, offer and resell under this prospectus up to 3,439,500 shares of our common stock, par value $0.0001 per share (“common stock”). The shares of common stock which may be resold under this prospectus consist of:
(i.)1,043,000 issued and outstanding shares of common stock originally sold by us in a private placement that closed effective as of October 22, 2020 (the “October Offering”);
(ii.)1,250,000 issued and outstanding shares of common stock originally sold by us in a private placement that closed effective as of December 7, 2020 (the “December Offering”);
(iii.)521,500 shares of common stock issuable upon exercise of common stock purchase warrants sold by us in the October Offering (the “October Warrants”), which warrants are exercisable for a 2-year term beginning April 22, 2021 at an initial exercise price of $4.08 per share; and
(iv.)625,000 shares of common stock issuable upon exercise of common stock purchase warrants sold by us in the December Offering (the “December Warrants” and, together with the October Warrants, the “Warrants”), which warrants are exercisable for a 2-year term beginning June 7, 2021 at an initial exercise price of $5.49 per share.
We are not selling any securities under this prospectus and will not receive any of the proceeds from the sale of shares by the Selling Stockholders.
The Selling Stockholders may sell the shares of common stock described in this prospectus in a number of different ways and at varying prices. Oblong was formed as a Delaware corporation in May 2000 and is a provider of patented multi-stream collaboration technologies and managed services for video collaboration and network applications. Oblong’s innovative and patented technologies seek to change the way people work, create, and communicate. Oblong's flagship product, Mezzanine™, is a remote meeting technology platform that offers simultaneous content sharing to achieve situational awareness for both in-room and remote collaborators. Oblong supplies Mezzanine systems to Fortune 500 enterprise customers and is a Cisco Solutions Plus integration partner. Mezzanine™ is a family of turn-key products that enable dynamic and immersive visual collaboration across multi-users, multi-screens, multi-devices, and multi-locations. Mezzanine™ allows multiple people to share, control and arrange content simultaneously, from any location, enabling all participants to see the same content in its entirety at the same time in identical formats, resulting in dramatic enhancements to both in-room and virtual videoconference presentations. Applications include video telepresence, laptop and application sharing, whiteboard sharing and slides. Spatial input

allows content to be spread across screens, spanning different walls, scalable to an arbitrary number of displays and interaction with our proprietary wand device. Mezzanine™ substantially enhances day-to-day virtual meetings with technology that accelerates decision making, improves communication, and increases productivity. Mezzanine™ scales up to support the most immersive and commanding innovation centers; across to link labs, conference spaces, and situation rooms; and down for the smallest work groups. Mezzanine’s digital collaboration platform can be sold as delivered systems in various configurations for small teams to total immersion experiences. The family includes the 200 Series (two display screen), 300 Series (three screen), 600 Series (six screen) and 650 Series (arbitrarily scalable with additional corkboard displays).
On October 1, 2019, the Company closed an acquisition of all of the outstanding equity interests of Oblong Industries, Inc., a privately held Delaware corporation founded in 2006 (the “Oblong Acquisition”), and on March 6, 2020, the Company changed its name from “Glowpoint, Inc.” to “Oblong, Inc.” Following the completion of the Oblong Acquisition, the formerly separate businesses of Glowpoint and Oblong Industries have been managed by the combined Company separately and involve different products and services. Accordingly, the Company currently operates in two segments: (1) the Glowpoint (now named Oblong) business, which includes managed services for video collaboration and network applications, and (2) the Oblong Industries business, which includes products and services for visual collaboration technologies. USE OF PROCEEDS

This prospectus relates to shares of our common stock that may be offered and sold from time to time by the Selling Stockholders. There will be no proceeds to us from the sale of the shares in this offering. In the event the Warrants are exercised for cash, we will receive up to approximately $5.6 million, assuming the initial exercise prices of the Warrants are not adjusted pursuant to their terms. We will use the proceeds received from the exercise of the Warrants, if any, for general corporate purposes.

DETERMINATION OF OFFERING PRICE

This offering is being made solely to allow the Selling Stockholders to offer and sell securities to the public. The Selling Stockholders may offer for resale some or all of the securities included in this prospectus at the time and price that they choose pursuant to the Plan of Distribution. On any given day, the price of our common shares will be based on the market price for our common shares, as quoted on the NYSE American under the symbol “OBLG”.

SELLING STOCKHOLDERS

In accordance with the terms of a registration rights agreement entered into by the Company and the Selling Stockholders in connection with the December Offering, this prospectus covers the offering and sale, from time to time, by the Selling Stockholders, of up to 3,439,500 common shares in the aggregate, of which (i) 2,293,000 shares are currently issued and outstanding, (ii) up to 521,500 shares are issuable upon the exercise of the October Warrants following April 22, 2021, and (iii) up to 625,000 shares are issuable upon the exercise of the December Warrants following June 7, 2021. See below for further discussion of the October and December Offerings and the securities issued by the Company therein.

October Offering

On October 22, 2020, the Company completed a private placement of (i) 1,043,000 shares of common stock, at a price of $2.85 per share in cash, and (ii) 521,500 October Warrants, for gross proceeds of $2,973,000 before deducting placement agent fees and other offering expenses. The October Warrants are exercisable for a 2-year term beginning April 22, 2021 at an initial exercise price of $4.08 per share. The October Warrants are subject to adjustment in the event of (i) stock splits and dividends, (ii) subsequent rights offerings, (iii) pro-rata distributions, and (iv) certain fundamental transactions, including but not limited to the sale of the Company, business combinations, and reorganizations. The October Warrants do not have any price protection or price reset provisions with respect to future issuances of securities.
December Offering
On December 7, 2020, the Company completed a private placement of (i) 1,250,000 shares of common stock, at a price of $4.00 per share in cash, and (ii) 625,000 December Warrants, for gross proceeds of $5,000,000 before deducting placement agent fees and other offering expenses. The December Warrants are exercisable for a 2-year term beginning June 7, 2021 at an initial exercise price of $5.49 per share. The December Warrants are subject to adjustment in the event of (i) stock splits and dividends, (ii) subsequent rights offerings, (iii) pro-rata distributions, and (iv) certain fundamental transactions, including but not limited to the sale of the Company, business combinations, and reorganizations. The December Warrants do not have any price protection or price reset provisions with respect to future issuances of securities.
In connection with the December Offering we entered into registration rights agreements with the investors who participated therein. In accordance with the terms of the registration rights agreement, we are filing this registration statement to register the resale of the shares of common stock and shares of common stock underlying the Warrants issued by us in the October and December Offerings as of the trading day immediately preceding the applicable date of determination and all subject to adjustment, without regard to any limitations on the exercise of the Warrants pursuant to their terms.

Common Stock
The holders of our common stock are entitled to one vote per share on all matters to be voted upon by the stockholders. Series A-2 Preferred Stock
Currently, there are 45 shares of our Series A-2 Preferred Stock outstanding. Our Series A-2 Preferred Stock is senior to all other outstanding classes of capital stock. Each share of Series A-2 Preferred Stock has a liquidation preference equal to its stated value of $7,500 per share, and is convertible at the holder’s election into shares of our common stock at a conversion price per share of $16.11, subject to certain adjustments. Under the terms of the Series A-2 Preferred Stock, upon the occurrence of a change of control, the Company has the option to redeem all or a portion of the Series A-2 Preferred Stock in exchange for a cash payment equal to the liquidation preference of such stock plus accrued and unpaid dividends. In addition, a holder of the Series A-2 Preferred Stock has the option to elect to treat certain fundamental transactions, including a consolidation or merger of the Company into any other corporation, a sale of all or substantially all of the assets of the Company, or the effectuation of a transaction or series or related transactions in which more than 50% of the voting shares of the Company are

Commencing on January 1, 2013, holders of our Series A-2 Preferred Stock were entitled to cumulative dividends at a rate of 5.0% per annum, payable quarterly, based on the stated value per share of $7,500. Once dividend payments commenced, all dividends were payable at the option of the holder in cash or through the issuance of a number of additional shares of Series A-2 Preferred Stock with an aggregate liquidation preference equal to the dividend amount payable on the applicable dividend payment date.
Holders of our Series A-2 Preferred Stock may vote such shares on an as-converted basis together with our shares of common stock on all matters submitted to a vote of our common stockholders.
Series D Convertible Preferred Stock
Currently, there are 1,686,659 shares of our Series D Convertible Preferred Stock outstanding and an additional 15,351 shares of Series D Convertible Preferred Stock reserved for issuance upon the satisfaction of certain vesting conditions. Our Series D Convertible Preferred Stock is senior to our Series E Convertible Preferred Stock and our common stock. Each share of Series D Convertible Preferred Stock has an original liquidation preference of $28.50 per share plus accrued and unpaid dividends. Each share of Series D Convertible Preferred Stock is automatically convertible into a number of shares of the Company’s common stock equal to the accrued value of the share (initially $28.50), plus any accrued dividends thereon, divided by the conversion price (initially $2.85 per share, subject to specified adjustments) upon the completion of both (i) approval of such conversion by the Company’s stockholders (which occurred on December 19, 2019); and (ii) the receipt of all required authorizations and approval of a new listing application from the NYSE American for the combined organization following the effectiveness of the Oblong Acquisition.
Pursuant to the terms of the Series D Certificate of Designations, each share of Series D Preferred Stock is entitled to receive an annual dividend equal to 6.0% of its then-existing accrued value per annum, commencing on the first anniversary of the issuance of the Series D Preferred Stock (or, October 1, 2020). Prior to the first anniversary of the issuance of the Series D Preferred Stock no dividends will accrue on such stock. Dividends are cumulative and accrue daily in arrears. Series E Convertible Preferred Stock
Currently, there are 131,579 shares of our Series E Convertible Preferred Stock outstanding.  Our Series E Convertible Preferred Stock is senior to our common stock. Each share of Series E Convertible Preferred Stock has an original liquidation preference of $28.50 per share plus accrued and unpaid dividends. Warrants
The selling stockholders may, from time to time, offer and resell under this prospectus up to 3,439,500 shares of our common stock, of which (i) 2,293,000 shares are currently issued and outstanding, (ii) up to 521,500 shares are issuable upon the exercise of the October Warrants following April 22, 2021, and (iii) up to 625,000 shares are issuable upon the exercise of the December Warrants following June 7, 2021.
The October Warrants were issued by the Company in connection with the October Offering effective as of October 22, 2020, and are exercisable for a 2-year term beginning April 22, 2021 at an initial exercise price of $4.08 per share. Anti-Takeover Effect
Provisions of our certificate of incorporation and bylaws could make the acquisition of our Company through a tender offer, a proxy contest or other means more difficult and could make the removal of incumbent officers and directors more difficult. Anti-takeover Effects of Delaware Law Provisions
Section 203 of the Delaware General Corporation Law contains provisions that may make the acquisition of control of us by means of a tender offer, open market purchase, proxy fight or otherwise, more difficult.
