Item 7.01.
Regulation FD Disclosure.

On January 5, 2021, SC Health Corporation, a Cayman Islands exempted company (the “Company”), issued a press release to announce that it had entered into a non-binding letter of intent (the “Letter of Intent”) with a next generation technology developer (the “Target”) for an initial business combination. The Target has developed a technology targeting consumer healthcare applications, and the Company believes the Target is a compelling investment opportunity given its cutting-edge technology and commercial opportunity. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated by reference herein.

Completion of the transaction is subject to, among other matters, the completion of due diligence, the negotiation of a definitive agreement providing for the transaction, satisfaction of the conditions negotiated therein and approval of the transaction by the Company’s stockholders. Accordingly, there can be no assurance that a definitive agreement will be entered into or that the proposed transaction will be consummated.
