Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 28, 2020, the Board of Directors of Image Sensing Systems, Inc. (the "Company") approved an increase in base salary for Chad A. Stelzig, the Company's President and Chief Executive Officer from $260,000 to $275,000, and for Frank G. Hallowell, the Company's Chief Financial Officer, from $220,000 to $235,000.  The increase in base salaries for Mr. Stelzig and Mr. Hallowell are retroactive to November 1, 2020.
