Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 16, 2020, Balchem Corporation (the “Company”) filed a Form 8-K with respect to the anticipated December 31, 2020 retirement of Scott Mason, Vice President of Manufacturing and Supply Chain and Vice President and General Manager, Industrial Products.  It is now anticipated that Mr. Mason will remain in his current roles until his successor is hired, with the likely time frame being in the first quarter of 2021, with the possibility that the time frame may be extended until his successor is hired and his Manufacturing and Supply Chain duties are transitioned.  It is also anticipated that Mr. Mason will enter into an employment or consulting arrangement with the Company, effective upon his retirement, with regard to his Industrial Products’ duties.
