On December 17, 2020, MedTech Acquisition Corporation, a Delaware corporation (the “Company”), consummated its initial public offering (the “IPO”) of 250,000,000 units (the “Units”) which included the partial exercise of the underwriter’s option to purchase up to an additional 3,000,000 Units at the IPO price to cover over-allotments. Each Unit consists of one share of Class A common stock of the Company, par value $0.0001 per share (“Class A Common Stock”), and one-third of one redeemable warrant of the Company (“Warrant”), with each whole Warrant entitling the holder thereof to purchase one share of Class A Common Stock for $11.50 per share. In connection with the IPO, the Company entered into the following agreements, forms of which were previously filed as exhibits to the Company’s Registration Statement on Form S-1 (File No. 333- 251037) related to the IPO, originally filed with the U.S. Securities and Exchange Commission (the “Commission”) on November 30, 2020 (as amended, the “Registration Statement”):

The Private Placement Warrants are identical to the Warrants included in the Units sold as part of the Units in the IPO, except as otherwise disclosed in the Registration Statement.
