DISCLOSURE OF STRATEGIC PARTNERSHIP

Wipro Limited, a company organized under the laws of the Republic of India (the “Company”), hereby furnishes the Commission with a copy of the following information relating to a strategic digital and IT partnership deal with METRO AG, a global wholesale company in the food service distribution industry, which includes the Company taking over METRO-NOM GMBH in Germany and METRO Systems Romania S.R.L, the IT units of METRO AG. Through the Company’s partnership with METRO AG, more than 1,300 METRO AG employees across Germany, Romania and India will transfer to the Company. The following information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

On December 22, 2020, the Company informed the securities exchanges in India on which its securities are listed and the New York Stock Exchange that it has signed a strategic partnership with METRO AG and that the Company’s take over of METRO-NON GMBH and METRO Systems Romania S.R.L. is subject to customary closing conditions and regulatory approvals, and is expected to be completed on or before April 30, 2021. A copy of the letter to the securities exchanges is attached to this Form 6-K as Item 99.1.
