Item 5.07.

Submission of Matters to a Vote of Security Holders.

On December 22, 2020, Builders FirstSource, Inc., a Delaware corporation (“Builders FirstSource”), held a special meeting of its stockholders (the “Builders FirstSource stockholder meeting”) at which Builders FirstSource’s stockholders voted on the proposals set forth below relating to the previously announced combination of Builders FirstSource and BMC Stock Holdings, Inc., a Delaware corporation (“BMC”), in an all-stock merger transaction pursuant to an Agreement and Plan of Merger, dated as of August 26, 2020 (as amended, restated, supplemented, or otherwise modified from time to time, the “Merger Agreement”), by and among Builders FirstSource, Boston Merger Sub I Inc., a Delaware corporation and a direct wholly owned subsidiary of Builders FirstSource, and BMC. The proposals are described in detail in the definitive joint proxy statement/prospectus filed by Builders FirstSource with the United States Securities and Exchange Commission on November 18, 2020, and first mailed to Builders FirstSource’s stockholders on or about November 18, 2020.

The final voting results regarding each proposal are set forth below. There were 116,821,189 shares of common stock, par value $0.01 per share, of Builders FirstSource (“BFS common stock”) outstanding and entitled to vote as of the close of business on November 13, 2020, the record date for the Builders FirstSource stockholder meeting, and 104,872,438 shares of BFS common stock were represented in person or by proxy at the Builders FirstSource stockholder meeting, which number constituted a quorum.

Proposal 1:    Share Issuance Proposal.

Builders FirstSource’s stockholders approved the proposal to issue shares of BFS common stock to the stockholders of BMC pursuant to the Merger Agreement (the “share issuance proposal”). The share issuance proposal was approved by Builders FirstSource’s stockholders by the votes set forth in the table below:

Proposal 2:    Charter Amendment Proposal.

Builders FirstSource’s stockholders adopted an amendment to the certificate of incorporation of Builders FirstSource to increase the number of authorized shares of BFS common stock (the “charter amendment proposal”). The charter amendment proposal was approved by Builders FirstSource’s stockholders by the votes set forth in the table below:

Proposal 3:     Adjournment Proposal.

In connection with the Builders FirstSource stockholder meeting, Builders FirstSource also solicited proxies with respect to a proposal to adjourn the Builders FirstSource stockholder meeting to solicit additional proxies if, within three business days prior to the date of the Builders FirstSource stockholder meeting, there were not sufficient votes to approve the share issuance proposal or the charter amendment proposal, or if Builders FirstSource was otherwise required or permitted to do so pursuant to the Merger Agreement, or to ensure that any supplement or


amendment to the definitive joint proxy statement/prospectus was timely provided to Builders FirstSource’s stockholders (the “adjournment proposal”). The adjournment proposal was approved by Builders FirstSource’s stockholders by the votes set forth in the table below:

Item 8.01.

Other Events.

Receipt of the approval of the share issuance proposal and the charter amendment proposal and the adoption by the stockholders of BMC at a special meeting of BMC’s stockholders also held on December 22, 2020, of the Merger Agreement satisfies certain of the conditions to the completion of the merger contemplated by the Merger Agreement. Subject to the satisfaction or waiver of the remaining conditions set forth in the Merger Agreement, the parties expect to complete the merger on or about January 1, 2021.
