Item 8.01. Other Events.

On December 15, 2020, Vail Resorts, Inc. (the “Company”) announced the pricing of its previously announced convertible senior notes offering. The Company priced $500 million aggregate principal amount of 0.00% convertible senior notes due 2026 at par (the “Notes”). The Company also granted the initial purchasers of the Notes an option to purchase, for settlement within a period of 13 days from, and including, the date the Notes are first issued, up to an additional $75 million aggregate principal amount of Notes. The Notes will be unsecured senior obligations of the Company.

The Notes offering is expected to close on December 18, 2020, subject to customary closing conditions.  The Company intends to use the net proceeds from the proposed Notes offering for general corporate purposes.

A copy of the press release issued in connection therewith is attached hereto as Exhibit 99.1. The Notes were offered in the United States to persons reasonably believed to be qualified institutional buyers in an offering exempt from registration pursuant to Rule 144A under the Securities Act of 1933, as amended.
