Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Canterbury Park Holding Corporation (the “Company”) determined to reduce the base pay for employees at the senior director level and above, including President and Chief Executive Officer Randall D. Sampson and Vice President of Finance and Chief Financial Officer Randy J. Dehmer, by an additional 10% from what had previously been noted, effective December 13, 2020. This pay reduction was announced by Randall D. Sampson on December 9, 2020 and is consistent with the discretion earlier given to him by the Company’s Board of Directors.
