Item 8.01

Other Events

On December 4, 2020, Public Service Enterprise Group Incorporated (PSEG) and Ørsted North America, Inc. announced that they have entered into a definitive agreement pursuant to which an indirect, wholly owned subsidiary of PSEG will acquire a 25% interest in the 1,100 megawatt Ocean Wind project, subject to approval by the New Jersey Board of Public Utilities and other customary closing conditions. A copy of the press release is filed as Exhibit 99 to this Form 8-K and incorporated by reference herein.
