As previously disclosed, on October 30, 2020, notification and report forms under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”) were filed by each of ConocoPhillips and Concho Resources Inc. (“Concho”) with the Federal Trade Commission and the Department of Justice with respect to the proposed merger between Concho and a subsidiary of ConocoPhillips (the “merger”). The waiting period with respect to the merger expired at 11:59 p.m. Eastern Time on November 30, 2020. Accordingly, the condition to the merger relating to the expiration or termination of any waiting period under the HSR Act has been satisfied. The merger remains subject to other customary conditions, including the requisite approvals by each of ConocoPhillips and Concho stockholders.

 

ConocoPhillips and Concho have each set (i) a record date of December 11, 2020 with respect to their respective stockholder meetings to be held in connection with the merger and (ii) a stockholder meeting date of 9:00 a.m. Central Time on January 15, 2021, which stockholder meeting will be held virtually via the Internet.
