Item 8.01. Other Events.

On December 1, 2020, LyondellBasell Industries N.V. announced the closing of the formation of the Louisiana-based Integrated Polyethylene Joint Venture with Sasol Chemicals (USA) LLC (“Sasol”). Through the creation of this joint venture with Sasol, we acquired a 50% interest in the 1.5 million ton ethane cracker, 0.9 million ton low and linear-low density polyethylene plants and associated infrastructure located in Lake Charles, Louisiana, for a total cash consideration of $2 billion subject to customary adjustments for working capital and other items. A copy of our press release announcing the closing of the transaction is attached as Exhibit 99.1.
