Item 3.03.    Material Modification to rights of Security Holders. 

 

On November 16, 2020, the exercise price of warrants issued by Synthetic Biologics, Inc. (the “Company”) in October 2018 (the “Warrants”) was reduced from $1.38 per Warrant per full share of the Company’s common stock, $0.001 par value per share (the “Common Stock”), to $0.69 per Warrant per full share of Common Stock. The reduction was the result of the issuance of shares of Common Stock by the Company through its “at the market offering” facility.
