Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 18, 2020, Christos Richards notified the Board of Directors (the “Board”) of Coherus BioSciences, Inc. (the “Company”) of his decision to resign from the Board, effective November 18, 2020. Mr. Richards’ resignation is not due to any disagreement with the Company, the Board or the management of the Company.

 

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On and effective as of November 12, 2020, the Board amended and restated the Company’s amended and restated bylaws (as further amended and restated, the “Amended and Restated Bylaws”) to amend Article VII to provide that unless the Company consents in writing to the selection of an alternative forum, the federal district courts of the United States shall be the exclusive forum for the resolution of any complaint asserting a cause of action arising under the Securities Act of 1933, as amended, to the fullest extent permitted by law (the “Amendment”).

The foregoing description of the Amendment is qualified by reference to the Amended and Restated Bylaws, a copy of which is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
