Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b)        On November 12, 2020, Ryan T. Sullivan notified Intercept Pharmaceuticals, Inc. (the “Company”) of his decision to resign from his position as the Company’s General Counsel and Secretary, effective December 11, 2020, in order to pursue other opportunities. Mr. Sullivan’s resignation was not the result of any disagreement regarding any matter related to the Company’s operations, policies or practices.
