Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 13, 2020, Michael K. Goik, Executive Vice President and Group Head of the Commercial Finance division of MetaBank, National Association (the “Bank”), a wholly owned subsidiary of Meta Financial Group, Inc. (the “Company”), notified the Bank of his decision to resign from the Bank effective on or before December 13, 2020. Mr. Goik’s resignation is not due to a dispute or disagreement with the Bank or the Company.

Upon the effectiveness of his resignation, Mr. Goik’s duties will be assumed by Brett L. Pharr, Co-President and Chief Operating Officer of the Bank.

The Company and the Bank thank Mr. Goik for his service and contributions, and wish him the best in his future endeavors.
