Item 8.01. Other Events

On November 9, 2020, Illumina, Inc. (“Illumina”) and GRAIL, Inc. (“GRAIL”) received requests for additional information and documentary materials from the U.S. Federal Trade Commission (“FTC”) in connection with Illumina’s pending acquisition of GRAIL. The requests were issued under notification requirements of the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”).

Frequently referred to as a “second request,” the requests extend the waiting period under the HSR Act until 30 days after Illumina and GRAIL have each substantially complied with the second request, unless that waiting period is extended voluntarily by the parties or the waiting period is otherwise terminated by the FTC. The parties continue working cooperatively with the FTC as it conducts its review of the proposed acquisition.

Completion of the proposed transaction remains subject to GRAIL stockholder approval and other customary closing conditions. The transaction is expected to close in the second half of 2021.

In connection with the proposed transaction, Illumina intends to file with the SEC a registration statement on Form S-4 that will include a preliminary prospectus with respect to Illumina’s common stock and contingent value rights to be issued in the proposed transaction and a consent solicitation statement of GRAIL in connection with the proposed transaction.
