Re:    WINNING TOGETHER AS 1 // Financial Update

Team,

In case you didn’t hear, Builders FirstSource and BMC recently made headlines when we both announced record third quarter results!

It’s exciting to envision what our recent financial performance may tell us about the future for the combined company. Let’s examine a few highlights from the past four quarters.

What Are the Numbers Telling Us and Why Is It Such Good News?

Back in August, we announced our combined company will have projected Annual Net Sales “in excess of $11 billion.” At the bottom of Column 1 and aided by current commodity price levels, you can see that we’re already delivering on that target. Equally as important, Average Net Sales YOY Growth between the two companies (Column 2) continues to expand with the largest increase occurring this past quarter. Excellent job, and let’s keep up this great momentum!

Turning our attention to EBITDA (Columns 3 – 5), you can see both companies are seeing continued improvement in profitability. We both had our challenges at the beginning of 2020, resulting from a variety of pandemic-related impacts. However, we’ve been able to turn things around through surging housing demand, elevated commodity prices, and our productivity initiatives.

The combined company will be well-positioned for sustained top and bottom line growth.

Investing in Ourselves

One of the most important financial metrics, not shown on the above chart, is Cash Flow. The two businesses have generated $362M of net cash from operating activities through the first three quarters of 2020. In addition, the combined company will have a very strong balance sheet with minimal debt. This means the company will be very well positioned to invest in new locations, equipment, innovation, new technologies, and acquisitions —- all of which will drive continued growth. We will also be able to invest in our most important asset, our people. We will continue to build the best team in our industry through training, career growth opportunities, and by attracting the next generation of top talent to our company.

Beyond the Numbers

We believe the combination of our exceptional organizations is a transformational step forward for both Builders FirstSource, BMC, and the industry as a whole. Through this merger, we are bringing together two strong companies with complementary capabilities and cultures. And it’s that cultural element we want to draw your attention to, as it will continue to drive the financial results and create value for all of our stakeholders —- team members, customers, suppliers, investors, and the communities we serve.

As we’ve said before, this merger is about growth – expanding our geographic reach in a highly fragmented industry, enhancing our value-added offerings, and allowing our people to grow their careers. If we do all that, the rest will take care of itself.

Thank you to everyone who has routed questions up through their managers or by emailing merger@bldr.com. Let’s keep the lines of communication open, and we look forward to sharing more updates in the near future.
