Item 5.03.    Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

Alphabet Inc. Amended and Restated Bylaws

On October 21, 2020, the Board of Directors (the “Board”) of Alphabet Inc., a Delaware corporation (the “Company”) adopted amendments to the Company’s Amended and Restated Bylaws (as amended, the “Bylaws”) effective immediately, to:

(i) Provide for the majority vote for the election of directors; and

(ii) Align certain provisions of the Bylaws with the provisions of the recently amended sections of the Delaware General Corporation Law pertaining to documentation of acts or transactions through electronic means as well as the execution and delivery of notices to stockholders, and make certain other administrative changes.
