Item 2.02. Results of Operations and Financial Condition.

On October 21, 2020, Amphenol Corporation (the “Company”) issued a press release setting forth the Company’s 2020 third quarter earnings. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Item 8.01.  Other Events.

 

On October 21, 2020, the Company announced the approval of an increase in its quarterly dividend on its Common Stock from $0.25 to $0.29 per share, effective with dividends declared in the fourth quarter of 2020.  A copy of the press release announcing the approval of the dividend increase is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
