Item 5.02(d)			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Company’s Board of Directors (the “Board”) appointed Dr. Sidney S. Williams, Jr. as a director of the Company on October 20, 2020. Dr. Williams earned his B.A. in Finance from Howard University and M.B.A. from University of Pennsylvania. Early in his career, he worked at several investment banks, after which he became a principal and founder of a private equity firm and a partner at a venture capital firm. He received a Masters degree from Wesley Theological Seminar and a Doctorate from Payne Theological Seminary. Dr. Williams is currently the lead pastor at Bethel Church, in Morristown, NJ, a historic African Methodist Episcopal Church. He is also the founder, President and CEO of Crossing Capital Group, Inc., a company which provides churches, seminaries, colleges and for profit social enterprises with help in organizational development, strategic planning and financial management. The Board did not immediately appoint Dr. Williams to serve on any of the committees.
