Dear Concho Employees,

 

By now you have heard about the planned combination of ConocoPhillips and Concho that was announced earlier today. Together, we are taking a bold step to create a company with unmatched scale and quality to meet the future needs of our vital business.

 

With this transaction we are combining two companies with best-in-class assets, strong financial and investment discipline, values-based cultures and highly talented workforces. In fact, our mutual commitment to these characteristics is what attracted us to Concho. We admire the premier position you have created in the Permian, which will be a great complement to ConocoPhillips’ globally diverse portfolio. While we believe the asset fit is clear, our two companies also share a deep commitment to our people, our communities, innovation and learning, and our values. At ConocoPhillips we live by our SPIRIT Values, which stand for Safety, People, Integrity, Responsibility, Innovation and Teamwork. I believe these values are similar to those that have made Concho such a successful, widely admired company.

 

I look forward to welcoming and working alongside the Concho team, including Tim Leach, who will join our board of directors and assume a role on our executive leadership team as executive vice president and president, Lower 48, reporting to me. Because of the scale of our combined Permian operations, Tim will have offices in both Midland and Houston.

 

Soon, we will form an integration planning team that includes representatives from both our companies. The role of that team is to ensure a smooth integration of our companies upon closing. As with any transformational announcement, we expect there will be impacts to both the ConocoPhillips and Concho workforces. I recognize that this creates uncertainty and questions, but it is simply too soon to have clear answers. Tim and I share a commitment to being forthright and fair throughout the integration planning process, again guided by our values.

 

We expect the transaction to close in the first quarter of 2021. Until then, we will remain two independent companies with separate operations, as we are today.

 

Tim and I share a vision about the future of this industry. It is a future with clear winners – those companies with sustainable business models, enviable portfolios and a visible commitment to the highest standards of environmental, social and governance excellence. I believe the record shows that our companies have been clear winners in the past – and that this combination will only make us stronger for the future.
