Item 8.01. Other Events.

 

On September 11, 2020, Industrial Tech Acquisitions, Inc. (the “Company”) consummated its initial public offering (the “IPO”) of 7,500,000 units (the “Units”). Each Unit consists of one share of Class A common stock of the Company, par value $0.0001 per share (“Class A Common Stock”) and one redeemable warrant of the Company (each, a “Warrant”), with each Warrant entitling the holder thereof to purchase one share of Class A Common Stock for $11.50 per share. The Units were sold at a price of $10.00 per Unit, generating gross proceeds to the Company of $75,000,000. The Company granted the underwriters in the IPO, a 45-day option to purchase up to 1,125,000 additional Units solely to cover over-allotments, if any.

 

On September 11, 2020, simultaneously with the consummation of the IPO, the Company completed the private sale of an aggregate of 3,075,000 Warrants (the “Private Placement Warrants”) to Industrial Tech Partners, LLC, sponsor of the Company, generating gross proceeds to the Company of $3,075,000.

 

On September 11, 2020, a total of $75,750,000, comprised of $72,675,000 of the proceeds from the IPO (which amount includes $2,625,000 of the underwriters’ deferred discount) and $3,075,000 of the proceeds of the sale of the Private Placement Warrants, was placed in a U.S.-based trust account maintained by Continental Stock Transfer & Trust Company, acting as trustee.

 

On October 13, 2020, the Company consummated the sale of an additional 123,600 Units that were subject to the underwriters’ over-allotment option at $10.00 per Unit, generating gross proceeds of $1,236,000. Following the closing of the over-allotment option, an aggregate amount of $76,998,600 has been placed in the Company’s trust account established in connection with the IPO.
