Results of Annual General Meeting

 

On October 6, 2020, VivoPower International PLC (the “Company”) held its annual general meeting of shareholders (the “Meeting”). At the Meeting, the Company’s shareholders voted on the following eight resolutions, each of which was approved by no less than 98% of votes cast:

 

1.

To receive the accounts and the reports of the directors and the auditors for the financial year ended 30 June 2020 (the "June 2020 Annual Report").

 

2.

To approve the directors’ remuneration report for the financial year ended 30 June 2020 as set out on pages 32 to 39 of the June 2020 Annual Report (the "Directors' Remuneration Report").

 

3.

To approve the directors’ remuneration policy, the full text of which is contained in the Directors' Remuneration Report and set out on pages 32 to 39 of the Annual Report (the "Directors' Remuneration Policy").

 

4.

To re-appoint PKF Littlejohn LLP as auditors of the Company, to hold office until the conclusion of the next annual general meeting of the Company.

 

5.

To authorize the Company's audit committee to determine the remuneration of the auditors.

 

6.

To consider and, if thought fit, pass the following as an ordinary resolution:

 

THAT the directors be and are hereby generally and unconditionally authorized in accordance with section 551 of the Companies Act 2006 to exercise all the powers of the Company to allot shares in the Company and to grant rights to subscribe for, or to convert any security into, shares in the Company up to an aggregate nominal amount of US$180,000 provided that this authority shall, unless renewed varied or revoked expire on 5 October 2025 save that the Company shall be entitled to make offers or agreements before the expiry of such authority which would or might require shares to be allotted or such rights to be granted after such expiry and the directors shall be entitled to allot shares and grant rights pursuant to any such offer or agreement as if this authority had not expired.

To consider and, if thought fit, pass the following as a special resolution:

 

THAT if Resolution 6 above is passed, the directors be and are hereby authorized pursuant to section 570 of the Companies Act 2006 to allot equity securities (within the meaning of section 560 of the Companies Act 2006) for cash pursuant to the authority conferred by Resolution 6 above as if section 561(1) of the Companies Act 2006 did not apply to any such allotment provided that this power shall be limited to the allotment of equity securities up to an aggregate nominal amount of US$180,000, and shall expire on the expiry of the general authority conferred by Resolution 6 above, save that the Company shall be entitled to make offers or agreements before the expiry of such power which would or might require equity securities to be allotted after such expiry and the directors shall be entitled to allot equity securities pursuant to any such offer or agreement as if the power conferred hereby had not expired.

 

8.

To re-elect Michael Singee Hui as a director of the Company, who retires by rotation, for a term expiring on the third succeeding annual general meeting of the Company following his election.
