Item 1.01 | Entry into Material Definitive Agreement. |
On September 30, 2020, Kaleyra, Inc. (the “Company”) entered into a Warrant Exchange Agreement (the “Agreement”) with Riverview Group LLC (“Riverview”). Riverview previously acquired warrants to purchase an aggregate of 3,780,000 shares of its common stock, par value $0.0001 per share (the “Common Stock”) initially issued by the Company in its initial public offering on December 7, 2017 (the “Warrants”). Pursuant to the Agreement, on October 2, 2020, the Company is issuing an aggregate of 850,500 shares of Common Stock to Riverview in exchange for the surrender and cancellation of the Warrants held by such holder.
