Item 5.07Submission of Matters to a Vote of Security Holders

 

On September 17, 2020, Outlook Therapeutics, Inc. (“the Company”) held a Special Meeting of the Stockholders (the “Special Meeting”). The Special Meeting was held in a virtual meeting format only, via live webcast on the Internet, with no physical in-person meeting. At the Special Meeting, the Company’s stockholders voted on a proposal, which is described in more detail in the Company’s definitive proxy statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on August 18, 2020. There were 127,183,109 shares of Common Stock outstanding and entitled to vote at the Special Meeting.

 

Proposal 1. Stockholders approved the amendment and restatement of the Company’s 2015 Equity Incentive Plan, as amended, to increase the share reserve and make certain updating changes. The voting results were as follows:
