Explanation of Responses:
1. The price reported in Column 4 represents the weighted average price. These shares were purchased in multiple transactions ranging from $7.87 to $8.06, inclusive. The reporting person undertakes to provide to Chatham Lodging Trust, any security holder of Chatham Lodging Trust, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each price with the range set forth in this footnote.
2. On September 17, 2020, the indicated shares were purchased by a grantor retained annuity trust ("GRAT") of which there is an independent trustee and of which the reporting person and his descendants are beneficiaries. The reporting person continues to report beneficial ownership of all of the common shares held by the GRAT but disclaims beneficial ownership except to the extent of his pecuniary interest, as this report shall not be deemed an admission that the reporting person is the beneficial owner of these securities for the purposes of Section 16 or any other purpose.
