Item 8.01. Other Events.

 

On September 17, 2020, Checkpoint Therapeutics, Inc. (the “Company”) suspended selling the Company’s common stock under the Controlled Equity OfferingSM Sales Agreement dated November 9, 2017, entered into by and among the Company, Cantor Fitzgerald & Co., Ladenburg Thalmann & Co. Inc. and H.C. Wainwright & Co., LLC, (the “Controlled Equity Offering Sales Agreement”) pursuant to the terms of the Controlled Equity Offering Sales Agreement.
