Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 31, 2020, Bruce C. Edwards, a member of the Board of Directors (the “Board”) of Lantronix, Inc. (the “Company”), notified the Company of his decision to retire from the Board effective as of the Company’s upcoming 2020 Annual Meeting of Stockholders. Mr. Edwards currently serves as Chair of the Compensation Committee and as a member of the Audit and Corporate Governance & Nominating Committees, and will continue to serve in these capacities until the Annual Meeting. Mr. Edwards’s retirement from the Board was not due to any disagreement with the Company.
