EXPLANATORY NOTE

 

This Registration Statement is filed by PAVmed Inc. (the “Company”) to register additional securities issuable pursuant to the Company’s Employee Stock Purchase Plan, as amended (the “Plan”), and consists of only those items required by General Instruction E to Form S-8. The Company hereby incorporates by reference into this Registration Statement the contents of the prior registration statement on Form S-8 relating to the Plan, filed with the Securities and Exchange Commission (the “SEC”) on May 22, 2019 (File No. 333-231674).
